Jio Platforms Limited (“JPL” “we”, “our”, “us”) having its registered office at 101, Saffron, Near Centre Point, Panchwati 5 Rasta, Ambawadi, Ahmedabad, Gujarat- 380006, India operates the Jio Magazines Publisher Portal (hereinafter referred to as “Website” as in the Website Terms) for the Content Provider ("you" / "your" / "yourself").

This document is an electronic record in terms of the Information Technology Act, 2000 ("IT Act") and rules thereunder as amended from time to time, and is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules 2011, which mandates for publishing of rules and regulations, privacy policy and terms of use for access or usage of the Website. This electronic record is generated by a computer system and does not require any physical or digital signatures.

These terms and conditions (“Website Terms”) read with the privacy policy, disclaimers, rules as may be posted on this Website, having domain name https://magazinepublisher.media.jio.com/, from time to time, are in addition to the terms and conditions of the Content License Agreement (defined below) signed between you and us and shall collectively govern your use / access of the Website, its related content, sites and hyperlinks owned maintained and operated by JPL and/or its Affiliates and the domain name is owned by one of its Affiliates. These Website Terms apply to all users of the Website. Unless otherwise defined in these Website Terms, the terms used in these Website Terms shall have the meaning as in the Content License Agreement signed between you and us.

By impliedly or expressly accepting these Website Terms, privacy policy, you also accept and agree to be bound by rules, policies and terms of JPL as posted on this Website from time to time and corresponding hyperlinks if any. If you do not agree to be bound by the Website Terms, please do not access this Website.

Changes to the Website Terms
We may change, modify, amend or update the Website Terms from time to time by publishing an updated version on the Website. By continuing to use the Website you will be deemed to accept the updated Website Terms and agree to be bound by them.

1. DEFINITIONS

   For the purpose of these Website Terms, "Affiliate(s)" shall mean with respect to JPL, any person directly or indirectly controlling, controlled by, or under direct or indirect common control with JPL including its subsidiaries and associate companies

   "JPL"/ "we"/ "us"/ "our" shall mean Jio Platforms Limited having its registered office at 101, Saffron, Near Centre Point, Panchwati 5 Rasta, Ambawadi, Ahmedabad, Gujarat, PIN – 380006 and/or its Affiliates, service providers, successors and assigns, wherever the context applies.

   "Content Provider”/ “you’" shall mean the user accessing the Website, its content and/or using the Website to fill in the information with their username and password and uploading the Licensed Content required through the Website.

   “Licensed Content” shall mean all magazines, articles, videos, periodicals including the literary, dramatic, artistic works, text, article, images, video, illustrations, designs, icons, trademarks, logos, photographs, layouts and any other content uploaded by you on the Website.

   "Website" means the website operated by JPL (https://magazinepublisher.media.jio.com/), or its Affiliates.

   These Website Terms create a legal agreement directly between you and JPL and/or its Affiliates and explain the rules governing use of the Website. By accessing or using the Website, you acknowledge and agree that you have read, understood and agree to be bound by these Website Terms and our Privacy Policy.

2. REGISTRATION

   In order for you to upload the Licensed Content and metadata through the Website, you are required to register on our Website, which may involve without limitation, setting up of a profile, email ID, mobile number, username and password, your name, social media information, pin code, company website, your designation (if any), your organisation (if any) and other personally identifiable information some of which may be mandatorily required. If you are an administrator appointed by the Content Provider, or if you have confirmed in writing that you have the authority to make decisions on behalf of a Content Provider, you shall be assumed to be the Content Provider. You will be solely responsible to ensure confidentiality of usernames or passwords or account with the Website by you or if used by your representative. By registering, you hereby grant consent to us for contacting you via telephone or email based on the information furnished by you, either by us, or our Affiliates or third parties nominated in this regard for providing better services or for any promotional activities related to the Licensed Content. By registering, you agree that you are fully responsible for all activities that occur under your user name and password. We may assume that any communications we receive under your account have been made by you. You agree that any basic information, personally identifiable information, provided by you is true, complete and accurate, and agree not to submit any particulars which are false or any information you do not have any right or authority to provide. You are solely responsible for maintaining the confidentiality and security of all activities that occur on or through your access of the Website. In order to use and or register with the Website, authorized users must be 18 (Eighteen) years of age or older.

   You are responsible for notifying us at jionews@jio.com if you become aware of any unauthorized use of or access to your account. You understand and agree that we may require you to provide information that may be used to confirm your identity and help ensure the security of your account. JPL or its Affiliates will not be liable for any loss, damages, penalty, liability, interest, expenses or attorneys’ fees that you may incur as a result of someone else using your password or account, either with or without your knowledge and/or authorization, and regardless of whether you have or have not advised us of such unauthorized use. You will be liable for losses, damages, penalty, liability, interest, expenses and attorneys’ fees incurred by JPL or a third party due to someone else using your account. In the event that the Content Provider loses access to their account or otherwise requests information about their account, JPL reserves the right to request from you any verification it deems necessary before restoring access to or providing information about such account in its sole discretion.

3. OUR PROPRIETARY RIGHT

   All right, title and interest, including without limitation, copyright, trademark and other intellectual property rights in this Website (including but not limited to its design, text, graphics, applications, software, application programming interface(s) (APIs), underlying source code, any updates, modifications, or enhancements to or any part thereof), as may be provided by JPL and all other aspects, belongs to JPL and is protected by the appropriate intellectual property laws. These Website Terms does not provide you with any ownership interest in the Website or with any other right other than as expressly set forth in these Website. The trademark ‘Reliance’, its logo, trade mark ‘Jio’, ‘JioNews’, ‘JioMags’ their logo, and other services marks and logos are owned by and/or licensed to JPL. Any unauthorized use of any material contained on or through the Website may violate copyright laws, trademark laws, the laws of privacy and publicity and communications regulations and statutes. The same shall amount to piracy and / or infringement of intellectual property rights and the appropriate legal and remedial action, as available, shall be initiated against you.

4. LICENSE

   1. Grant of License: You hereby agree that all rights, title and interests in the Website vest with JPL or its Affiliates. Subject to your compliance with these Website Terms and the Content License Agreement, we grant you a limited, non-exclusive, non-sublicensable, non-transferable, and revocable license to access and use the Website only for uploading meta-data and Licensed Content, and only in a manner that complies with all legal requirements that apply to you or your use of the Website, including the JPL Privacy Policy and these Website Terms. Except for the rights to use granted herein, no other rights are granted to you with respect to the Website either by implication, estoppel, or otherwise.

   2. You acknowledge that JPL shall transmit the Licensed Content to its end users/subscribers on AS IS WHERE IS basis as an “Intermediary” under Information Technology Act, 2000(including any modification, re-enactments thereto).

5. TERMS OF USE

   1. You shall post the required information/meta data related to the Licensed Content and upload the Licensed Content as per the requirements under the Content License Agreement, if any or as per the requirements specified on the Website.

   2. You may access the Website to upload/recall the Licensed Content, provide additional information about the uploaded Licensed Content (like what the issue is about, which pages have interactive content, which page should be used for preview etc.) as per our requirements.

   3. You agree that in relation to any complaints or error related to Licensed Content informed to us, we may seek you to re-upload the Licensed Content through the Website.

   4. You agree that we may do random sample testing of the Licensed Content or your access to the Website to resolve any complaints in this regard.

   5. You agree that the Licensed Content you upload on the Website or any meta-data or information you enter on the Website in addition to the conditions specified in the Content License Agreement and the Licensed Content shall:

   i. be free from any and all claims, liens, and encumbrances; and
   ii. not be in violation of any applicable laws and Content Provider shall not use the Website for hosting, uploading, modifying, publishing, transmitting or updating or sharing any information that violates any applicable laws;
   iii. not grossly harmful, harassing, blasphemous defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
   iv. not harm minors in any way;
   v. not infringe any trademark, copyright or other proprietary rights;
   vi. not deceive or mislead any person about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
   vii. not impersonate another person’s work;
   viii. not contain software, viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource, which shall include without limitation, the Website; and
   ix. not threaten the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting any other nation.

   6. You acknowledge and agree to upload/submit the Licensed Content on the Website at your sole risk and liability, and you agree that you, and not JPL, is entirely responsible for all of the Licensed Content that you upload/submit otherwise make available via your account. You assume all risks associated with uploading of the Licensed Content.

   7. You shall abide by the following restrictions:

   i. You shall use the Website strictly in accordance with these Website Terms and shall not: (a) decompile, disassemble, reverse engineer or attempt to derive the source code of or in any manner decrypt the Website; (b) make any modification, adaptation or improvement, enhancement, or derivative work from the Website or incorporate any portion of the software into your own programs or compile any portion of it in combination with your own programs, transfer it for use with another service; (c) violate any applicable laws or regulations including but not limited to copyright act, import and export control laws and regulations in connection with your access or use of the Website or the Website content; (d) remove or obscure any proprietary notice (including any notice of copyright or trademark) forming a part of the Website or the Website content; (e) use the Website or the Website content for any revenue generation endeavour, or any other purpose for which it is not designed or intended; (f) use the Website for data mining, scraping, crawling, redirecting, or for any purpose not in accordance with the terms of the Website Terms; (g) use the Website content for undertaking any hacking activities like breaching or attempt to breach the security of another user or attempt to gain access to any other person's computer, software, content or data without the knowledge and consent of such person; (h) use the Website for creating a service or software that is directly or indirectly, competitive with the Website or any services offered by JPL and/or its Affiliates; or (i) derive any confidential information, processes, data, algorithms or content from the Website.
   ii. You also expressly agree not to engage in any use or activity that (a) may interrupt, destroy, alter, damage, delay, or limit the functionality or integrity of the Website or the Website content including that of, any associated software, hardware, telecommunications or wireless equipment; (b) may manipulate identifiers, or numeric information to disguise the origin of any user, device, material or other information; (c) may interfere with the proper working of the Website or prevent others from using the Website; or (d) may delete the copyright and other proprietary rights notices on the Website.
   iii. You agree not to use the Website for any activity relating to infringement of any intellectual property rights, including any trademarks, service marks, or trade names, privacy rights, personality rights, or any other proprietary rights of any third party. You shall not use the Website and access the Website content through the website outside the territory of the Republic of India, unless permitted by JPL. JPL and/or its Affiliates shall have the right to use various technologies and digital rights management mechanisms to enforce this territorial restriction and/or to verify your compliance with this restriction.
   iv. Nothing contained herein shall be construed or implied to grant any right or license to use any trademarks, trade names, service marks or logos, which are a part of the Website, without the prior written consent of the owner of rights in such marks.
   v. You agree not to incorporate the Website content into, or stream or retransmit the Website content via, any hardware or software of Website or make it available via frames or in-line links unless expressly permitted in writing by JPL.
   vi. You shall not access the Website content by any means other than through the Website. You shall, unless explicitly provided herein, neither directly nor through the use of any device, software, web-based service, or other means copy, download, stream capture, reproduce, duplicate, archive, distribute, upload, publish, re-publish, modify, translate, broadcast, perform, publicly display, sell, transmit or retransmit, edit, re-use, adapt, incorporate or create any derivative works of, any Website content streamed / viewed / downloaded from the Website.
   vii. You agree not to, or permit anyone else to, circumvent, disable or otherwise interfere with security-related features and any digital rights management mechanisms of the Website including the features that prevent or restrict use or copying of any Website content on the Website.
   viii. JPL does not endorse any Website content made available through the Website, or any opinion, recommendation, or advice expressed thereon by any user and JPL expressly disclaims any and all liability in connection with such views or opinions or comments provided by the users.
   ix. JPL shall use reasonable efforts to make the Website content available to the users, at all times through the Website. However, the Website content is provided over the internet, data and cellular networks and so the quality and availability of the same may be affected by factors outside JPL’s control. Accordingly, JPL does not accept any responsibility for unavailability of the Website, at any time. JPL will not be responsible for any support or maintenance for the Website.
   x. Part of the Website may contain advertising information or promotion material, or other material submitted to JPL by third parties. Responsibility for ensuring that material submitted for inclusion on the Website complies with applicable international and national law is exclusively on the party providing the information/material. Your correspondence or business dealings with, or participation in promotions of advertisers including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. Before relying on any advertising material, you should independently verify its relevance for your purpose, and should obtain appropriate professional advice. JPL shall not be responsible nor liable for any loss or claim that you may have against an advertiser or any consequential damages arising on account of you relying on the contents of the advertisement.

   8. Violations of this Section 5. In addition to any other remedies that may be available to us, JPL reserves the right to take any remedial action it deems necessary, including immediately suspending or terminating your account or your access to the Website.

6. PRIVACY

   For information about how we collect, use, and share the data we collect from and about you, please see our Privacy Policy (https://apigw.jio.ril.com/help/jionewspublisher/privacypolicy/) which is incorporated by reference into these Website Terms. Notwithstanding the foregoing, JPL reserves the right to disclose any information in response to / that it is required to be shared, disclosed or made available to any governmental, administrative, regulatory or judicial authority under any law or regulation applicable to JPL.

7. INFORMATION SECURITY

   We are committed to safeguard the security and confidentiality of any information you provide to us. We understand that you accept the inherent security implications of providing information over the internet or world wide web and will not hold us responsible for any breach of security or disclosure of personal information. If you become aware of any violation of the security of data or the Website Terms, please contact us immediately.

8. INDEMNIFICATION

   You agree to indemnify JPL for all actions, suits, proceedings, investigations, complaints, claims, demands, orders, decrees, rulings, injunctions, judgments, directives, notices of violation, liabilities, liens, losses (including loss of value), damages, penalties, fines, settlements, costs, remediation costs, expenses, interest and fees (including court costs and reasonable fees and expenses of counsel and other experts) which arise out of or relate to your use of this Website or any acts committed by you in violation of applicable laws and these Website Terms. This indemnification includes, without limitation, liability relating to copyright infringement, defamation, invasion of privacy, trade mark infringement and breach of this Agreement. This indemnification obligation will survive these Website Terms and your use of the Website.

9. LIMITATION OF LIABILITY

   1. YOU ASSUME THE ENTIRE RISK OF USING THE WEBSITE. IN NO EVENT JPL INCLUDING AFFILIATES AND THEIR RESPECTIVE OWNERS, DIRECTORS, OFFICERS, AGENTS, SHAREHOLDERS AND PARTNERS SHALL BE LIABLE FOR ANY LOSS OR DAMAGE WHATSOEVER INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, PUNITIVE, INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM THE USE OR INABILITY TO USE THE WEBSITE OR FOR ANY SECURITY BREACH OR ANY VIRUS, BUG, TIME-BOMB, MALWARE, SPYWARE, UNAUTHORIZED INTERVENTION, DEFECT, OR TECHNICAL MALFUNCTIONING OF THE WEBSITE, WHETHER OR NOT FORESEEABLE OR WHETHER OR NOT JPL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR BASED ON ANY THEORY OF LIABILITY, INCLUDING BREACH OF CONTRACT OR WARRANTY, NEGLIGENCE OR OTHER TORTIOUS ACTION, OR ANY OTHER CLAIM ARISING OUT, OF OR IN CONNECTION WITH, YOUR USE OF, OR ACCESS TO, THE WEBSITE OR THE SERVICE.

   2. JPL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE RESPONSIBLE FOR ANY LOSS OF PROFITS, REVENUES, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS; LOSS OR CORRUPTION OF DATA; INDIRECT OR CONSEQUENTIAL LOSS; PUNITIVE DAMAGES CAUSED BY:

   a. ERRORS, MISTAKES, OR INACCURACIES ON THE WEBSITE;
   b. PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE WEBSITE;
   c. ANY UNAUTHORIZED USE OF THE WEBSITE;
   d. ANY INTERRUPTION OR CESSATION OF THE WEBSITE;

   h. ANY FAILURE TO PROVIDE NOTICE OF SUSPENSION OR TERMINATION OF YOUR ACCOUNT OR LICENSED CONTENT;
   i. ANY TEMPORARY DISABLEMENT, PARTIAL UNAVAILABILITY, PERMANENT DISCONTINUANCE OR MODIFICATION OF THE WEBSITE (INCLUDING ITS FEATURES) BY JPL OR FOR ANY CONSEQUENCES RESULTING FROM SUCH ACTIONS.
   j. THIS PROVISION APPLIES TO ANY CLAIM, REGARDLESS OF WHETHER THE CLAIM ASSERTED IS BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
   k. THE PARTIES AGREE THAT (A) THE MUTUAL AGREEMENTS MADE IN THIS SECTION 8 REFLECT A REASONABLE ALLOCATION OF RISK, AND (B) THAT EACH PARTY WOULD NOT ENTER INTO THESE TERMS WITHOUT THESE LIMITATIONS ON LIABILITY.
   l. NOTWITHSTANDING ANYTHING CONTRARY CONTAINED HEREIN, FOR ANY AND ALL OF YOUR CLAIMS AGAINST JPL UNDER OR IN RELATION TO THESE WEBSITE TERMS, THE CUMULATIVE AGGREGATE LIABILITY OF JPL SHALL IN NO EVENT EXCEED RS.100/- (RUPEES ONE HUNDRED ONLY).
10. NO WAIVER FOR BREACHES

    If we do not act in relation to a breach of the Website Terms by you, that should not be construed as a waiver of any of our rights to act in relation to that breach or any later breach by you.

11. SEVERABILITY

    If any of the provisions of these Website Terms are deemed invalid, void, or for any reason unenforceable, that part of the Website Term will be deemed severable and will not affect the validity and enforceability of any remaining provisions of the Website Terms.

12. RELATIONSHIP

    None of the provisions of these Website Terms shall be deemed to constitute a partnership, franchise, joint venture, association of persons or agency between you and JPL and you shall have no authority to bind JPL in any manner, whatsoever.

13. SECURITY

    You understand that we cannot and do not guarantee that files, if any, available for downloading from the Websites will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to the Website for any reconstruction of any lost data.

14. THIRD-PARTY LINKS AND WEBSITE

    The Website may provide links to various websites, applications, services, for your convenience only and we have no control over the linked websites and / or applications. Some of the links may be related to the websites, applications / services provided by our Affiliate(s). We do not maintain, sponsor or recommend any third-party websites, though the Website may contain advertisements. We do not assume any responsibility for them or their content or accessibility. In particular, we shall not be liable for any infringement of intellectual property rights of any person, or any information or opinions on third party websites. Your use of those linked sites, mobile software applications, and services are subject to the terms of use and privacy policies of each such website(s), applications and or service(s) (in addition to these Website Terms and the Privacy Policy).

15. FORCE MAJEURE

    A "Force Majeure Event" shall mean any event that is beyond the reasonable control of JPL and shall include, without limitation, sabotage, fire, flood, explosion, acts of god, epidemic, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, pandemic, acts of government, computer hacking, failure of public utility, unauthorized access to computer data and storage device, computer crashes, breach of security and encryption, etc.

    Notwithstanding anything contained in this Website Terms or elsewhere, JPL shall not be held responsible for including but not limited to any loss, damage or misuse of your personal information, Licensed Content if such loss, damage or misuse is attributable to a Force Majeure Event.

16. GOVERNING LAW AND JURISDICTION

    If a dispute arises regarding these Website Terms, the laws of the Republic of India will apply and shall be subject to the exclusive jurisdiction of courts in Mumbai, India.

17. DISCLAIMER

    To the maximum extent permitted by law, we disclaim all liability for any errors or omissions in the Website which is provided on an "AS-IS" basis and "with all faults and risks basis" and without warranties of any kind. To the maximum extent permitted under laws, we disclaim all warranties whether express or implied including merchantability, fitness for a particular purpose, non-infringement or that use of the Website will be uninterrupted or error-free. To the extent permitted by law, we and our employees, officers, agents and contractors exclude all liability for any loss or damage (including without limitation, indirect, special or consequential loss or damage) arising from the use of, or reliance upon Website, whether or not this is caused by a negligent act. We expressly reserve the right, in our discretion, to suspend, change, modify, add or remove portions of the Website and to restrict the use and accessibility of the Website without any prior notice.
